Please read these terms and conditions carefully. By accessing or using this reward scheme, you agree to be bound by the terms described herein and all terms incorporated by reference. If you do not agree to all of these terms, you should not participate in this scheme.


1.    OVERVIEW 
1.1    These terms and conditions (“Terms”) govern a member’s access to, and participation in the Rewards Loyalty Scheme (the “Scheme”) operated by BM Catalysts (“we” or “our”) in England, Wales and Scotland (“Eligible Countries”). 
1.2    The Scheme is not intended for use by anyone outside of the Eligible Countries or anyone under the age of 18.
1.3    By joining the Scheme and becoming a reward member (individually and collectively, “you” “your” “Reward Member” or “User”) you agree that you have read, understood and agree to be bound by these Terms and by any changes or modifications we may make. You should review these Terms and the related policies frequently to understand the terms and conditions that apply to the Scheme as they may change from time to time. These Terms do not alter in any way the terms or conditions of any other agreement you may have with us, including any agreement for products or services.  By enrolling in the Scheme, you also agree to be bound by our Privacy Policy and our  Website Terms and Conditions which are incorporated herein by reference.  If you do not agree to these Terms, our Privacy Policy, and our Website Terms and Conditions, you cannot participate in the Scheme. The Scheme is void where prohibited by law.


2.    SCHEME ENROLLMENT
2.1    To register for the BM Rewards Scheme, each garage must nominate a primary account holder to register and create an account (the “Primary Account Holder”) via www.bmrewardspro.com (the “Website”) who will be responsible for the Scheme account (the “Account”) and can invite staff members to join the Account.
2.2    The Primary Account Holder is required to provide the business name and business address in order to set up an Account. Each Reward Member must provide an email address, name, business name and business address in order to be enrolled in the Scheme. Reward Members may also have the opportunity to provide us with job title, date of birth, business type, number of staff engaged in the business, number of bays/ramps at the business address and mobile phone number, but this information is optional. If a Reward Member chooses to provide this information, it will be processed in accordance with our Privacy Policy. Each Reward Member is solely responsible for maintaining the accuracy of their account information and for updating it as required. Personal information can be updated on the Website.
2.3    Membership of the Scheme is personal to the Reward Member and points accrue for the benefit of the Account. Points cannot be shared or transferred between Accounts. Only one Account may be associated with each garage. In the event of a dispute over ownership of the Account, the Primary Account Holder will be deemed to be the authorised account holder of the email address submitted at the time of enrolment. For purposes of these Terms, the "authorised account holder" is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organisation (e.g., a business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.


3.    THE REWARD SCHEME
3.1    The Scheme is designed to reward loyalty for selling and fitting a BM Catalyst product (the “Product”) to end-customers. You can earn points on the sale and fitting of the Products which can be redeemed for inventory in our reward catalogue (“Rewards”) on the Website. We reserve the right to amend the reward catalogue in our discretion.
3.2    To qualify for the Scheme, you and your affiliated garage must be enrolled in the Scheme in accordance with clause 2. You must record the sale and fit of each qualifying Product through the Account where the purchase can then qualify for points. Details of the qualifying Products and points awarded are available at our How to Earn page available here: www.bmrewardspro.com/How-To-Earn. Qualifying Products exclude eGift Cards, sales tax, discounts, shipping and delivery charges and/or other excluded charges specified by us from time-to-time. We reserve the right to change what is a qualifying Product.
3.3    To record a sale and fit, you will need to scan the Product’s serial number, the vehicle mileage and registration number and enter it onto the Account.  
3.4    Once an Account achieves a certain number of points, the Primary Account Holder may be eligible for certain benefits and Rewards applicable to that number of points. The benefits and Rewards you may be eligible for may change from time to time and may be offered on a limited basis. Qualifying products and other opportunities to earn points will be posted on our Website or may be published through other media (e.g., in-store, marketing communications, social media, etc.). 
3.5    Offers and Rewards are available while supplies last and substitutions made by us in our sole discretion may occur. You are not required to redeem your accumulated Rewards and/or benefits. We are unable to reship offers or Rewards if they arrive damaged, if you received the wrong one or if one is missing from your order. In the event an offer or Reward arrives damaged, you received the wrong one, or one is missing from your order, please contact Customer Service on: rewards@bmcatalysts.com.
3.6    Rewards, benefits and/or points must not be shared or combined between Accounts.  Only the User selling and fitting the Products for an end-customer may accumulate Rewards, benefits and/or points for the benefit of the Account.  Points will not be awarded for the sale and fit of Products which are reimbursed by corporations or other organisations ineligible to participate in the Scheme.
3.7    Rewards, benefits and/or points earned through the Scheme have no cash value, are non-transferable, and you have no property rights in or to Rewards or other Scheme benefits.  Points credited to the Account will be decreased or reversed, as applicable, if part or all of the purchase is returned or cancelled or if the credit is obtained through fraudulent or other activity that violates these Terms.  The sale, barter, transfer, or assignment of any Rewards or benefits offered through the Scheme, other than by us, is expressly prohibited.
3.8    Rewards cannot be exchanged or returned for points, another product or a monetary refund.
3.9    The Rewards and any services available through the Scheme and any samples that we may provide to you are for personal use only. You may not sell or resell any of the Rewards, services, or samples you purchase or otherwise receive from us. We reserve the right, without notice, to cancel or reduce the quantity of any order to be filled and/or any products or services to be provided to you that we believe, in our sole discretion, may result in the violation of our Terms.
3.10    We are not responsible for Rewards, benefits and/or points lost or redeemed due to fraudulent activity.
3.11    We reserve the right to change the Scheme benefits, how you earn points, the number of points awarded per Product and how we evaluate and reward your purchases of qualifying products and/or other activity in relation to the Scheme.  
3.12    If you have concerns that a purchase or other activity was not properly applied to your account, you should contact Customer Service via email at rewards@bmcatalysts.com or by calling 01623 663800.  Your email must specify your name and email address associated with the Scheme, the date of the rewardable activity, and the issue(s) you encountered.  This email must be sent no more than 21 days after the date the purchase or other Scheme activity took place.  We are not responsible for late notifications about purchases or other Scheme activities not being credited to an account.
3.13    Rewards can only be redeemed on the Website, unless otherwise noted by us.


4.    MARKETING
4.1    By enrolling in the Scheme, you consent to subscribe to receive marketing emails and Scheme related emails from us.
4.2    You may opt-out of receiving marketing emails at any time by following the instructions provided in the email or as otherwise provided in our Privacy Policy but operational emails will still be sent to you as they relate to your membership in the Scheme. Examples of these include, but are not limited to, a redemption confirmation email, a new points acquisition email, a profile update email, or other communications that relate to your account.  If you terminate your Scheme membership, you will no longer receive Scheme related communications.


5.    TERMINATION
5.1    The Scheme and its benefits are offered at our sole discretion.  We may, in our discretion, cancel, modify, restrict or terminate these Terms and/or the Scheme or any aspect or feature of the Scheme at any time without prior notice, even though such changes may affect the value of Rewards or benefits already accumulated or earned and/or the ability to redeem accumulated Rewards or benefits. 
5.2    We reserve the right to exclude you from or to discontinue your participation in the Scheme and to audit your Account at any time, in our sole discretion.  Any suspected abuse of the Scheme, failure to follow these Terms, membership inactivity (i.e. no points earned or redeemed for more than 24 months), illegal activity, fraud, misrepresentation or other conduct inconsistent with these Terms and/or detrimental to us or our interests, including without limitation, any suspected illegal, fraudulent other unauthorised use of any Scheme Rewards, points, cards, credits, vouchers, coupons and/or certificates, may result in the revocation of your membership and make you ineligible for further participation in the Scheme.  If your membership is revoked, any Rewards or benefits in your account will automatically expire and your access to the Scheme and features will automatically terminate. If we suspect illegal activity, fraud, misrepresentation, abuse or violation of these Terms, we also have the right to take appropriate legal action, in our sole discretion.
5.3    If you decide you no longer want to be a part of the Scheme, you may cancel your membership at any time by cancelling your membership in your Account.


6.    LIMITATION OF LIABILITY
6.1    Neither BM Catalysts nor our parents, subsidiaries, affiliates, partners, or licensors make any representations or warranties of any kind whatsoever, express or implied, in connection with these terms or the Scheme or any of the Rewards or benefits associated with the Scheme including, but not limited to, warranties of merchantability, non-infringement or fitness for a particular purpose, except to the extent such representations and warranties are not legally excludable.
6.2    You agree that neither BM Catalysts nor our parents, subsidiaries, affiliates, partners, or licensors will be responsible or liable in contract, warranty or in tort (including negligence) for any (a) interruption of business; (b) access delays or access interruptions to the Scheme; (c) data non-delivery, loss, theft, mis delivery, corruption, destruction or other modification; (d) loss or damages of any sort incurred as a result of dealings with or the presence of third party links on the site or use of any Reward or benefit of the Scheme; (e) computer viruses, system failures or malfunctions which may occur in connection with your use of the Website, including during hyperlink to or from third party websites; (f) any inaccuracies or omissions in Scheme content; or (g) events beyond our reasonable control. We make no representations or warranties that defects or errors will be corrected.
6.3    Further neither BM Catalysts nor our parents, subsidiaries, affiliates, partners, or licensors will be liable for any indirect, special, punitive, incidental, or consequential damages of any kind (including lost profits) related to the Scheme or and your participation therein, whether in contract, warranty or in tort (including negligence), even if we have been advised of the possibility of such damages and in no event shall our maximum aggregate liability for such claims exceed £100.
6.4    You agree that no claims or action in contract, warranty or in tort (including negligence) arising out of, or related to, your participation in the Scheme, use of any Rewards or other benefit or these terms may be brought by you more than one (1) year after the cause of action relating to such claim or action arose. If you are dissatisfied with the Scheme, termination of your membership in the Scheme is your sole remedy. We have no other obligation, liability, or responsibility to you.


7.    INDEMNIFICATION
7.1    You agree to defend, indemnify and hold us, our parents, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand resulting from your participation in the Scheme in violation of any law, rule, regulation or these Terms.

9.    GOVERNING LAW
9.1    These Terms (including any associated non-contractual disputes or claims) is governed by English law and the parties hereby accept the exclusive jurisdiction of the English courts in relation to any dispute arising under or in connection with these Terms.
